1. Introduction

These Terms of Use (“Terms”) govern the access to and use of the websites, applications, services, and platforms operated by Wytmode Cloud Private Limited (“Wytmode”, “we”, “us”, or “our”). By accessing or using our services, you (“user”, “you”, or “your”) agree to be bound by these Terms, along with all applicable laws, regulations, and policies referenced herein.

If you do not agree to these Terms, you must immediately discontinue use of our services. Continued access signifies acceptance of these provisions and the establishment of a legally binding agreement between you and Wytmode.


2. Eligibility and User Accounts

Use of our services is limited to individuals and entities capable of entering into legally binding agreements under applicable law. Users must be of the minimum age required by law in their jurisdiction to provide valid consent for data processing and contract formation. Accounts may not be created or used by individuals under the minimum legal age, unless authorized by a parent or legal guardian where permitted.

When creating an account with Wytmode, you agree to provide accurate, current, and complete information and to keep such information updated at all times. You are responsible for maintaining the confidentiality of account credentials and for all activities conducted under your account. Wytmode reserves the right to suspend or terminate accounts that contain inaccurate or fraudulent information or that are used in violation of these Terms.


3. Scope of Services

Wytmode provides a range of technology and workforce solutions, including but not limited to staffing and workforce augmentation, enterprise software, SaaS-based platforms, compliance services, and supporting digital applications. The specific features and functionality of each service may vary over time.

Wytmode does not guarantee uninterrupted or error-free access to services and may, at its discretion, modify, suspend, or discontinue any feature or aspect of the services without prior notice. Continued use of the services following such modifications constitutes acceptance of the changes.


4. Acceptable Use

Users agree to use Wytmode’s services solely for lawful purposes and in accordance with these Terms. You may not use the services in any manner that could damage, disable, overburden, or impair our infrastructure, or interfere with the lawful use of services by others.

  • Prohibited activities include, but are not limited to:
  • Attempting to gain unauthorized access to systems, networks, or accounts.
  • Introducing malware, viruses, or harmful code into our services.
  • Using our platforms for fraudulent, defamatory, or abusive purposes.
  • Copying, modifying, or reverse-engineering our software except as expressly permitted by law.
  • Engaging in activities that infringe upon intellectual property rights or violate applicable law.
Wytmode reserves the right to investigate violations, suspend accounts, or take appropriate legal action in response to misuse of services.


5. Intellectual Property

All intellectual property rights in Wytmode’s services, including but not limited to software code, databases, designs, trademarks, logos, graphics, and content, are owned or licensed by Wytmode and protected under applicable intellectual property laws.

Users are granted a limited, non-exclusive, non-transferable license to access and use the services in accordance with these Terms. This license does not permit copying, resale, or distribution of services or content for commercial gain, nor does it authorize modification or creation of derivative works without prior written permission. Any unauthorized use constitutes a violation of our rights and may lead to legal action.


6. Data Protection and Privacy

Wytmode values the privacy of its users. The collection, use, and protection of personal and professional data are governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you acknowledge that you have read and understood the Privacy Policy and consent to the practices described therein.


7. Payment and Billing

Where services are offered on a paid basis, you agree to provide accurate and valid payment details and to pay all fees in accordance with the pricing, payment terms, and billing cycles communicated by Wytmode. Failure to make timely payments may result in suspension or termination of services.

Unless otherwise stated, all payments are non-refundable, except where required by law or expressly stated in our Payment & Refund Policy. Taxes, duties, or levies imposed by applicable jurisdictions are the sole responsibility of the user.


8. Disclaimers of Warranties

Wytmode provides its services on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Wytmode disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

We do not warrant that the services will meet your requirements, be error-free, secure, or free of harmful components. Users assume full responsibility for the use of services and any reliance placed on them.


9. Limitation of Liability

To the maximum extent permitted by law, Wytmode, its directors, officers, employees, affiliates, and partners shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the use of our services. This includes, without limitation, damages for lost profits, lost data, business interruption, or unauthorized access to your information.

Our total liability, whether arising in contract, tort, negligence, or otherwise, shall not exceed the amount paid by the user for the specific service giving rise to the claim during the twelve months preceding the event.


10. Indemnification

You agree to indemnify, defend, and hold harmless Wytmode, its officers, employees, affiliates, and partners from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your use of the services, your violation of these Terms, or your infringement of any third-party rights.


11. Termination

Wytmode reserves the right to suspend or terminate access to services at its sole discretion where a user is found to be in breach of these Terms or engages in unlawful or harmful conduct. Termination may also occur where continued access poses risks to Wytmode, its users, or third parties.

Upon termination, the rights granted to you under these Terms will immediately cease, and you must discontinue all use of the services. Termination does not affect obligations incurred prior to termination, including payment obligations.


12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.


13. Changes to Terms

Wytmode may revise these Terms from time to time to reflect legal, technological, or operational changes. Material changes will be communicated through our websites, applications, or direct notices where appropriate. The “Last Reviewed On” date at the beginning of these Terms indicates the most recent update. Continued use of the services after publication of revised Terms constitutes acceptance of the new provisions.
